Welcome to WooCommerce Marketplace (the “Marketplace”), a multi-vendor platform powered by the Webkul WooCommerce Marketplace plugin. These Terms & Conditions (“Terms”) govern your access to and use of the Marketplace as a customer, a seller/vendor, or a visitor. By registering an account, listing products, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Marketplace.
1. Definitions
- Marketplace / We / Us: the operator of this website and platform.
- Seller / Vendor: a registered user approved to list and sell products through the Marketplace.
- Customer / Buyer: a user who purchases products from sellers via the Marketplace.
- Commission: the fee retained by the Marketplace on each completed sale.
2. Account Registration
To buy or sell on the Marketplace you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your login credentials and for all activity under your account. Seller accounts are subject to review and approval by the Marketplace administrator before products may be listed or sold.
3. Seller Obligations
- List only products you are legally entitled to sell, with accurate titles, descriptions, images, pricing, and stock.
- Honour all orders, ship within the stated handling time, and provide valid tracking where applicable.
- Respond to customer queries and disputes in a timely and professional manner.
- Comply with all applicable laws, taxes, and regulations relating to your products and sales.
- Maintain your own shipping, return, and refund policies consistent with these Terms and the Marketplace policies.
4. Commissions, Fees & Payouts
The Marketplace charges a commission on each successful sale at the rate configured for the seller or product category. The remaining balance is credited to the seller’s account and disbursed according to the Marketplace payout schedule and the seller’s chosen payment method. Commission rates, fees, and payout terms may be updated from time to time with prior notice.
5. Product Listings & Prohibited Items
Sellers may not list counterfeit, illegal, hazardous, infringing, or otherwise prohibited goods. The Marketplace reserves the right to review, reject, edit, unpublish, or remove any listing that violates these Terms or applicable law, without liability to the seller.
6. Orders, Payments & Pricing
All prices are listed in the displayed currency and are inclusive or exclusive of taxes as indicated at checkout. Orders are processed through the Marketplace’s integrated payment gateways. The Marketplace acts as a facilitator between buyers and sellers; the contract of sale for each product is between the customer and the respective seller.
7. Shipping, Returns & Refunds
Shipping timelines, return windows, and refund eligibility are governed by the individual seller’s policy together with the Marketplace’s Refund and Returns Policy. Buyers should review the seller’s terms before purchase. Disputes are handled in accordance with Section 9.
8. Intellectual Property
All trademarks, logos, content, and software on the Marketplace are the property of their respective owners. Sellers grant the Marketplace a non-exclusive licence to display their product content for the purpose of operating and promoting the platform. You may not copy, reproduce, or exploit any Marketplace content without authorisation.
9. Disputes & Resolution
In the event of a dispute between a buyer and a seller, the Marketplace may, at its discretion, mediate to reach a fair resolution but is not obligated to do so and is not a party to the underlying transaction. Both parties agree to cooperate in good faith during any dispute review.
10. Account Suspension & Termination
The Marketplace may suspend or terminate any account that violates these Terms, engages in fraudulent or harmful activity, or harms other users or the platform. Sellers may close their account after settling all pending orders and obligations.
11. Limitation of Liability
The Marketplace is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Marketplace shall not be liable for any indirect, incidental, or consequential damages arising from the use of the platform, the conduct of sellers or buyers, or the products sold through it.
12. Changes to These Terms
We may revise these Terms at any time. Material changes will be notified through the Marketplace or by email. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
